Terms of Service

These Terms of Service ("Terms") govern your use of the Magneety platform at app.magneety.com, the marketing site at magneety.com, and any related services (together, the "Service"). By creating an account or using the Service you agree to these Terms.

1. Who we are

The Service is operated by Magneety EU Ltd, registered in Bulgaria (UIC 208453175, VAT BG208453175), 5 Ekzarh Yosif I Str., 2nd floor, Office 1, 9300 Dobrich, Bulgaria.

2. The Service

Magneety helps small and mid-sized businesses plan, schedule, and analyze marketing across connected ad and social platforms. Features include AI-generated content, content calendaring, ad campaign creation and management, performance reporting, branded reports, an inbox for comments on your connected social accounts (direct messages will follow once the platforms approve them), and recommendations graded against your own results.

3. Availability and changes

Magneety is generally available: anyone can sign up, no invitation required. We improve the Service continuously, so features may be added, changed or retired. We give reasonable notice before removing a feature you pay for, and the price you pay is governed by Section 5 (including the founding-price terms, where they apply to you).

4. Your account

• You must be at least 18 years old and able to enter into a contract.
• You are responsible for maintaining the confidentiality of your login credentials and for everything that happens under your account.
• One workspace per legal entity, except that an agency may run one workspace per client it manages. Don't share accounts across separate businesses.
• You agree to provide accurate information and keep it up to date.

5. Plans, billing, and Magnets

• Free plan: €0/month, no credit card, permanent. Connect every supported platform (one connection per platform), view a unified dashboard with the last 30 days of data, single-user workspace. Paid features (publishing, AI, ad campaigns, unified inbox, reports) require an upgrade.
• Trials: Every new business workspace starts with 14 days of Pro, free, with no card. Once per workspace. At the end of the trial the workspace returns to the Free plan unless you subscribe; your account, connections and data are kept.
• Paid plans: Starter (€50/month or €500/year), Pro (€100/month, €255 per 3 months, or €1,000/year), Scale (€200/month, €510 per 3 months, or €2,000/year). Agency plans: Start (€99/month, €252 per 3 months, or €990/year) and Grow (€249/month, €636 per 3 months, or €2,490/year). All prices exclude VAT, which is added where applicable.
• Renewal: Subscriptions renew automatically on the cadence you chose (monthly, every 3 months, or yearly) until cancelled. We email you before each renewal with the amount and date.
• Changing plans: Moving up (a higher plan, or a longer billing cadence) applies immediately and you pay only the prorated difference for the rest of the current period. Moving down applies at the end of the period already paid for; until then you can keep your current plan. Nothing is deleted on any change: seats and connections beyond the new plan's limits are paused and restored if you move up again.
• Cancellation: You can cancel any time from Billing. Access continues until the end of the period already paid for, after which the workspace returns to the Free plan with its data kept.
• Refunds: 14-day money-back guarantee on every paid plan: if you email info@magneety.com within 14 days of your first payment on a plan, we refund that payment in full, no questions asked. After those 14 days, payments are non-refundable: cancelling stops the next renewal, and a plan billed for 3 months or a year runs to the end of the period already paid for. Where the law gives you a right of withdrawal as a consumer, this guarantee sits on top of it and nothing here limits it.
• The €1 first month: Some workspaces that returned to the Free plan after their trial are offered Pro for €1 for 30 days, in the app and by email, for a limited window (currently 7 days, opening 7 days after the trial ended). After the 30 days the plan price stated at checkout is charged automatically unless you cancel before that date. We email you before the first full charge, the date is shown in Billing, and cancelling takes two clicks. During the €1 month the workspace receives 60 Magnets; the full Pro allowance starts with the first full payment. One €1 month per workspace and per payment card.
• Founding price: Where a plan is sold at a founding price, that price is kept for as long as the subscription stays active on that plan without interruption. Cancelling, downgrading, or a lapse for non-payment ends the founding price; a later subscription is at the then-current price.
• Price changes: Existing subscribers receive at least 30 days notice before any price change takes effect on their next renewal.
• Magnets: Magnets are an in-product credit used to power AI features (image and video generation, captions, carousels, content plans) and certain platform actions. Free includes 0 Magnets/month (AI features are not available on Free). Starter includes 75/month, Pro 250/month, Scale 750/month; Agency Start 300/month and Agency Grow 800/month, pooled across the agency's client workspaces. The monthly allowance is granted every month whatever the billing cadence. Magnet packs purchased separately are non-refundable, hold no monetary value outside Magneety, cannot be transferred between accounts, and remain on your account while your subscription is active.
• Failed payments: If a payment fails we retry and email you. Your plan stays active for 7 days from the first failure; after that the workspace drops to the Free plan until the payment succeeds. Repeated failures or a disputed charge may lock the workspace pending review.

6. Acceptable use

You may not use the Service to:

• Violate any law, third-party right, or platform policy.
• Send spam, distribute malware, or otherwise abuse connected platforms or their users.
• Generate or publish harassing, defamatory, deceptive, infringing, hateful, sexually explicit (involving minors or non-consenting adults), or otherwise unlawful content.
• Reverse engineer, scrape, decompile, or attempt to gain unauthorized access to the Service or to any other user's data.
• Resell or sublicense access to Magneety without our written consent.
• Use the Service to compete with us by building a substantially similar product.

7. Connected platforms

When you connect Meta, Google, LinkedIn, TikTok, Snapchat, Microsoft, Klaviyo, GA4, Shopify, WooCommerce, Canva or other accounts, you authorize Magneety to act on your behalf within the scope of permissions you granted on each platform. You remain bound by those platforms' terms of service. We are not responsible for changes to their APIs, fee structures, account suspensions, or other actions caused by their policies.

When using Meta features through Magneety you also agree to comply with the Meta Platform Terms and the Meta Community Standards. When using Google Ads features you agree to comply with the Google Ads policies. We may suspend or remove access to platform features if you breach those policies.

7a. Automated actions on your accounts

Some features change things on your connected accounts without a click from you at that moment: publishing scheduled posts and ads, changing campaign budgets within limits you set, pausing ads when a spending cap you enabled is reached, and applying recommendations you approved. For these:

• You set the rules. Nothing is published, and no budget is changed, unless you started it, scheduled it, approved it, or turned on the rule that does it (for example a hard spending cap). You can turn any rule off at any time.
• You can see everything. Every change Magneety makes on a connected account is recorded with the time, what changed, and the values before and after. Admins can view and export this history in Settings.
• Autopilot is opt-in and needs your agreement. Autopilot (pausing campaigns that are losing money and, at the higher level, raising the daily budget of a campaign that is performing) is off by default. Only the account owner can turn it on, only after a total monthly budget is set and an ad account is connected, and only after confirming in the app that Magneety may make these changes without asking each time. We record who agreed, when, and to which level. Autopilot does not raise a budget if that would take the month over your total budget, and it turns itself off if that budget or the ad account is removed.
• Undo. Budget changes and pauses made through Magneety can be reversed from the same screen.
• Spending caps are a safety net, not a guarantee. Ad platforms bill you directly and may take time to apply a pause, may deliver beyond a daily budget under their own rules, or may have errors of their own. A cap in Magneety limits, but cannot eliminate, spend on the platform's side.
• Responsibility. Ad spend, platform fees, and results on your accounts are yours. We are responsible for the Service performing the actions you configured as described; we are not responsible for outcomes of platform errors, policy decisions, suspensions, or changes to a platform's rules. Section 12 applies. Nothing here excludes liability that cannot be excluded by law, including for gross negligence or wilful misconduct.

8. Your content

You retain ownership of all content you upload, create, or generate using Magneety ("Your Content"). You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Your Content solely as necessary to deliver the Service to you. AI-generated content is yours to use; some upstream AI providers' terms may apply for highly specific use cases (e.g. trademark filings).

You represent that you have all rights necessary to upload, publish, and use Your Content - including any rights from people depicted in images you upload, music in videos, or copyrighted material. You are solely responsible for obtaining permissions and paying any royalties.

9. Service availability

We aim for 99.5% monthly uptime but do not guarantee it. Scheduled maintenance, third-party outages (e.g. Meta, Google API downtime), force majeure events, and emergency security work may cause downtime.

10. AI-generated content

AI-generated text, images, and recommendations are produced by third-party models (Anthropic, Replicate, FAL.ai). They may occasionally produce inaccurate, offensive, or misleading output. You are responsible for reviewing all AI-generated content before publishing or using it commercially. Magneety does not warrant the accuracy or fitness for purpose of AI output.

11. Disclaimers

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or any guarantee of marketing outcomes (revenue, conversions, follower growth). AI-generated recommendations are advisory and require human judgment.

12. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Service is capped at the fees you paid to Magneety in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or exemplary damages, including lost profits, lost data, business interruption, or loss of goodwill.

13. Indemnification

You agree to defend, indemnify, and hold harmless Magneety and its officers, employees, and agents from any third-party claim, loss, or liability arising out of (a) Your Content, (b) your violation of these Terms, (c) your violation of a third party's rights or applicable law, or (d) your use of the Service in breach of a connected platform's terms.

14. Termination

You may terminate your subscription at any time via Settings → Billing → Cancel. We may terminate or suspend your account for breach of these Terms with reasonable notice, or immediately for serious abuse or risk to other users. Cancelling a subscription does not delete anything: the workspace continues on the Free plan with its data. If you delete your account, or we terminate it, your data is deleted at once and cannot be recovered.

15. Data Processing Agreement

For business customers processing personal data of EU/EEA or UK residents through Magneety, our Data Processing Agreement (DPA) is available on request at info@magneety.com. Signing the DPA is a precondition for using Magneety to process personal data on your customers' or contacts' behalf.

16. Governing law and disputes

These Terms are governed by the laws of Bulgaria, excluding its conflict-of-laws rules. Disputes are subject to the exclusive jurisdiction of the courts of Dobrich, Bulgaria, except where mandatory consumer protection law in your country of residence requires otherwise. EU consumers may also access the European Commission's online dispute resolution platform at ec.europa.eu/consumers/odr.

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. The "Last updated" date at the top of this page reflects the most recent revision.
